Stuart Main Street Association, Inc. and Downtown Business Association of Stuart, Inc. are herein referred to as the “Sponsors”. All references herein to the “Event” shall mean that certain event promoted by the Sponsors commonly referred to as “Dancin’ in The Streets”. The undersigned Vendor (herein after “Vendor”), by signing below, hereby acknowledges and agrees that Vendor has fully read, understands, and accepts all of the “Event Policies” set forth above, or as otherwise disclosed to the Vendor, including but not limited to, those provisions that may be established in the sole discretion of the Sponsors. The Vendor hereby acknowledges and consents that the Sponsors have the authority to ban any Vendor from the Event and any future events if Vendor has violated any provisions contained herein or in the Event Policies. If Vendor is found to be in breach of this agreement, or the Event Policies, the Sponsors have the authority to require Vendor to remove any and all equipment and personnel from the Event immediately, at the cost of the Vendor. Moreover, by participating in the Event, Vendor, including any of its Officers, Directors, Employees, Volunteers, or other agents of Vendor (herein after collectively referred to as “Vendor’s Agents”), hereby acknowledges and assumes the risk of liability, and holds harmless and waives any liability against the Sponsors or any its authorized agents, arising directly or indirectly from participation in the Event. Furthermore, in consideration of the Sponsors granting Vendor and Vendor’s Agent the authority to participate in the Event, both Vendor and Vendor’s Agents, hereby agree to indemnify and hold the Sponsors harmless from any costs, loss, damage, claims, fines or liability, whatsoever including but not limited to attorney’s fees and costs, which may arise directly or indirectly from participation in the Event by Vendor and/or Vendor’s Agents. Vendor and Vendor’s Agents hereby consent and grant irrevocable permission to the Sponsors to use the name, logo, trademark and likeness of Vendor, and Vendor’s Agents, in any broadcast, telecast, written or pictorial accounts and promotions of the Sponsors, including, without limitation, Dancin’ In The Streets in the future.
